GRSM Secures Dismissal of Breach of Contract Claim in Illinois for Texas-Based Software Company

Gordon Rees Scully Mansukhani Chicago attorney Omar Al-Hendy obtained a dismissal of a breach of contract claim on behalf of a software development company in a matter filed in Sangamon County, Illinois.

The plaintiffs alleged that after contracting with the defendant to develop a virtual application, the defendant received approximately $134,000 in payments but failed to fulfill its contractual obligations by never delivering the promised application. In their breach of contract claim, the plaintiffs further asserted that the defendant operated under a fictitious business name, an entity with no legal or physical presence in any U.S. jurisdiction, intentionally using it to misrepresent its legitimacy and obtain payment for services that were never rendered.

The court granted GRSM’s motion to dismiss on behalf of the software company, finding that the Texas-based corporation lacked sufficient contacts with Illinois to establish jurisdiction. Additionally, the plaintiffs failed to dispute that the company was incorporated and registered in Texas and, as evidenced by its Articles of Incorporation, was not the same entity alleged in the complaint. As a result, the court held that exercising personal jurisdiction over the defendant would violate traditional notions of fair play and substantial justice.
