Samuel E. Miller focuses his practice on commercial litigation, securities, and cyber, privacy, and data security matters. Samuel brings a unique cross-border transactional foundation to his litigation practice, with experience advising on securities, private funds, and emerging company matters in both U.S. and international markets, including the Abu Dhabi Global Market and Dubai International Financial Centre, before transitioning to commercial litigation in the greater New York metropolitan area.
Litigation
- Secured a favorable settlement on behalf of unaccredited investor who purchased unconventional SAFEs (simple agreements for future equity) issued by an Arizona-based technology startup.
- Obtained a $1.1 million judgment of foreclosure and sale on for a New Jersey-based private creditor enforcing a mortgage following a default on a mixed-collateral loan.
- Obtained a $1.8 million default judgment on behalf of the assignee of a senior position note and mortgage in a commercial mortgage foreclosure action.
- Secured a dismissal as against an individual defendant, the corporate borrower’s owner, in a domestication proceeding brought by a Virginia-based private creditor to enforce a $300,000 foreign judgment in New York courts.
- Secured a dismissal following a pre-answer application to dismiss in ADGM Courts, where a former employee sought specific performance of an extra-contractual promise concerning equity compensation.
Transactions
- Represented the seller of New York-based firearms and sporting goods business in an approximately $2 million asset sale to Canadian buyer.
- Represented a New York buyer in a $1.6 million membership interest acquisition of a Massachusetts-based information technology services business.
- Represented a New York buyer on an asset purchase transaction involving a distressed California-based skincare products manufacturing company where assumed liabilities exceeded the target’s assets.
- Advised a New York information technology company on a Regulation D offering of stock and on related amendments to its constitutional documents authorizing new classes of shares.
- Advised a US-based private credit investor on a $2 million exchangeable promissory note to a UAE-based borrower, secured by share pledges executed by borrower’s affiliates.
