San Francisco partner, Mark Davis, led a team of Gordon & Rees lawyers in the successful completion of the sale of their client, a manufacturer of high-end commercial seating products, to an Indiana-based furniture manufacturer.
San Diego partner, Richard Sybert, and the Gordon & Rees IP Practice Group have done the client's trademark, commercial, and regulatory work for years, and introduced the client to the Firm's corporate group.
The Indiana-based furniture manufacturer was selected as the purchaser of the Firm's client after a sales process with which the Gordon & Rees team assisted from the outset. The transaction was structured as a stock purchase and included coordination of an executive employment agreement for the client's CEO and negotiation of non-competition agreements for the selling shareholders. Lisa Klein (OC) provided substantial assistance with many aspects of the transaction including coordinating pay-offs of creditors, obtaining consents from third parties including the landlord, analyzing requirements for needed permits and licenses, working with the client team to complete disclosure schedules, and especially in dealing with the myriad of other closing details.
