Gordon & Rees represents domestic and international insurers as both coverage and claims management counsel in connection with Public and Private Company D&O policies as well as related Financial Institutions policies.  In addition to offering our insurer clients comprehensive coverage opinions for matters tendered under these policies, we are regularly asked to utilize our extensive knowledge of securities laws to analyze potential liability and efficiently resolve underlying claims.  Over the past decade, we have been involved in the resolution of hundreds of D&O claims, including numerous high-profile securities fraud and derivative actions involving a wide-range of issues, including options back-dating and violations of the Foreign Corrupt Practices Act.

In addition to serving as claims-management and coverage counsel, Gordon & Rees regularly represents its insurer clients in state and federal courts across the country in “bad faith” litigation, declaratory relief actions, and contribution actions involving the full spectrum of D&O liability coverage issues including:
  • “Follow-form” and “difference in conditions” issues
  • Drop-down and insured insolvency or bankruptcy
  • Advancement of costs
  • Contribution and allocation
  • Material misrepresentation/omission
  • Interrelatedness (temporal, logical, or causal connection)
  • Covered “Loss” issues (restitution, fraudulent transfer, etc.)
In addition to litigating cases for the firm’s insurance clients, our attorneys also provide a broad array of non-litigation insurance-related services including:
  • Underwriting consultation
  • Policy drafting
  • Claims review and coverage opinions
  • Outside counsel claims management audits
  • Defense invoice audits
  • Representation with state Departments of Insurance for regulatory filings and compliance
  • Representation with state Guaranty Funds to address issues of insurer Rehabilitation, Conservation, and/or Liquidation
  • CLE/CE training for insurance coverage, trending D&O liability issues, and legal ethics
